IMPORTANT: These Terms of Service constitute a legally binding agreement. Please read them in their entirety before using TEAM YORISOI services.

1. Introduction

These Terms of Service (the "Terms") govern your use of the online platform services (the "Services") provided by TEAM YORISOI LLC ("we," "us," "our," or "Operator"). By using the Services, you agree to be bound by these Terms.

TEAM YORISOI is a matching platform that connects service providers ("Providers") with service users ("Clients"). The Services prioritize safety and security, and aim to provide a transparent transaction environment.

Beta Version Operation

The Services are currently offered as a beta version (trial operation). During the beta period, we will start with a limited number of users and gradually expand functionality based on feedback from both Clients and Providers. Some features of the Services may be limited, and specifications may change without notice.

1.1 Our Mission

TEAM YORISOI values the principles of "thoughtfulness," "omotenashi (hospitality)," and "politeness" rooted in Japanese culture within a multilingual and multicultural community. We are a platform that builds high-quality services and trustworthy relationships through communication in various languages, including but not limited to Japanese and English.

We provide:

  • Provider Success: Opportunities for individual providers and businesses to meet new clients and earn stable income

  • Safety and Security: Provider verification based on location (US: background checks; Other: identity verification, business registration confirmation, etc.), credential authentication, and a trustworthy transaction environment
  • Community Growth: A space where all YORISOI Users support each other and grow together

2. Definitions

In these Terms, the following terms have the following meanings:

  • "Services": The website and platform operated by TEAM YORISOI
  • "Operator" or "we": The operating entity of TEAM YORISOI LLC
  • "Provider": A registered user (individual or entity (business)) who provides services through the Services
  • "Client": A registered user who uses services through the Services
  • "YORISOI Users": Collective term for Providers and Clients
  • "Service Agreement": A service provision agreement concluded between a Provider and a Client
  • "YORISOI Service Fee": The consideration paid by Providers to us for each transaction for platform use and matching services

3. Nature of Services

3.1 Role as a Platform

The Services are a matching and intermediary platform connecting Providers and Clients. The Operator provides:

  • Matching of Providers and Clients
  • Quote and contract creation and management functions
  • Handling of trouble reports and responses to fraudulent activities

The Operator does not provide the actual services and provides only a venue for transactions. The Operator assumes no responsibility for the actual provision, quality, or results of services.

3.2 Independent Contractual Relationship

Service Agreements concluded between Providers and Clients are independent contracts between the two parties. The Operator is not a party to such contracts.

3.3 Absence of Employment Relationship

Providers are not employees, agents, or partners of the Operator but are independent contractors.

3.4 Non-Involvement in Payment Processing

The Operator is not involved in the payment processing of service fees between Providers and Clients. Service fee payments are made directly between Providers and Clients.

The Operator receives only the YORISOI Service Fee from Providers.

3.5 Third-Party Advertising

Third-party advertisements may be displayed on this platform. The Operator assumes no responsibility for the content of advertisements or the services of advertisers.

4. User Registration

4.1 Registration Eligibility

  • Must be 18 years of age or older
  • Must provide accurate and current information
  • Must have the intent to comply with these Terms

4.2 Account Management

  • YORISOI Users are responsible for properly managing their account information
  • In case of password leakage or unauthorized use, immediately notify the Operator
  • Lending, transferring, or selling accounts is prohibited

4.3 Accuracy of Registration Information

YORISOI Users warrant that their registration information is always accurate and current. Accounts may be suspended or deleted if false information is provided.

5. Provider Responsibilities and Obligations

5.1 Background Checks and Business Verification

Provider verification content varies depending on location.

For US-Based Providers:

Individual Providers:

  • The Operator will conduct background checks (criminal history verification, etc.)
  • Providers are obligated to provide identification and necessary information
  • If professional qualifications are required, verification of qualifications will be conducted

Entity (Business) Providers:

  • The Operator will verify business licenses
  • Verification of professional qualifications/licenses required for business operations (nurses, commercial driver's licenses, nail technicians, therapists, etc.) and confirmation that state-registered licenses are Valid (active) will be conducted

For Providers Outside the US:

Individual Providers:

  • Identity verification through identification documents will be conducted
  • If professional qualifications are required, verification of qualifications will be conducted
  • Portfolio and track record verification may be conducted
  • Credibility verification through verification of website and social media presence may be conducted

Entity (Business) Providers:

  • Business registration verification (corporate registration, etc.) will be conducted
  • Company website presence verification will be conducted
  • Verification of professional qualifications/licenses required for business operations will be conducted

Registration may be denied if background checks or verification are not passed.

5.2 Qualifications and Licenses

  • Providers warrant that they possess valid qualifications, licenses, and permits if required for the services they provide
  • Providers must submit qualification/license certificates and receive authentication from the Operator
  • Providers are responsible for renewing qualifications with expiration dates before expiration
  • Accounts will be immediately suspended and may be subject to legal action if false qualification information is provided

5.3 Registration of Payment Information

Providers must complete payment settings via Stripe for payment of YORISOI Service Fees. Please follow the platform's instructions for detailed registration procedures.

5.4 Creation of Quotes

Providers are obligated to create quotes in response to service requests from Clients, including:

  • Detailed service description
  • Service fee (amount Provider will receive)
  • YORISOI Service Fee (33% of service fee)
  • Recommended tip (optionally set by Provider)
  • Total amount (total amount Client will pay)
  • Cancellation policy
  • Payment method

Quotes are presented to Clients through the YORISOI platform.

5.5 Service Quality and Mindset

  • Providers are obligated to provide services with thoughtfulness and politeness
  • Please value the spirit of "omotenashi" and strive for considerate responses from the Client's perspective
  • Providers are obligated to respect the health, safety, privacy, and dignity of Clients
  • Please strive to build relationships based on mutual trust and respect
  • If professional qualifications are required for services, industry standards and safety standards must be observed
  • Providers are obligated to promptly report to appropriate agencies (police, medical institutions, Adult Protective Services, etc.) if they discover sudden changes in a Client's health condition, abuse, neglect, or safety concerns during service provision

5.6 Insurance

Providers are strongly encouraged to obtain appropriate liability insurance according to the services they provide.

5.7 Legal Compliance

Providers are obligated to comply with federal, state, and local laws.

5.8 Profile Accuracy

Providers warrant that their profile information, fees, and service descriptions are accurate.

5.9 Post-Service Reporting of Service Changes

If changes to contract terms (extensions, reductions, additional services, etc.) occur during service provision, Providers are obligated to promptly report to YORISOI after service completion. Reports must clearly state the changes and reasons.

6. Client Responsibilities and Obligations

6.1 Accurate Information Provision

Clients are obligated to provide accurate and complete information when booking services.

6.2 Provision of Safe Environment

Clients are responsible for providing an environment in which Providers can safely provide services.

6.3 Appropriate Conduct

Clients are obligated to treat Providers with courtesy and respect. Harassment, discrimination, threats, and inappropriate conduct are strictly prohibited.

6.4 Contract Approval

Clients are obligated to review quotes presented by Providers and approve them if they agree to the terms. Approval of a quote establishes a Service Agreement between the Provider and Client. After contract establishment, Clients are responsible for complying with the contract terms, including the cancellation policy stated in the contract.

6.5 Payment

Clients are obligated to make payment directly to Providers after service completion based on the quote presented by the Provider. Payment method shall be as agreed between Provider and Client.

7. Service Flow

7.1 Service Request

Clients request services by one of the following methods:

  • A) Post details of desired service on the Services
  • B) Select from listed services

7.2 Connection with Provider

Connection with Providers is made by one of the following methods:

  • A) Client designates a specific Provider
  • B) YORISOI contacts appropriate Providers based on Client's request

7.3 Presentation of Quote

Providers create quotes based on Client requests (see Section 5.4 for details). Quotes are presented to Clients through the YORISOI platform.

7.4 Contract Establishment

A Service Agreement is established between Provider and Client when the Client approves the quote.

7.5 Billing of YORISOI Service Fee

Upon contract establishment, the Operator bills the Provider for the YORISOI Service Fee (33% of service fee). Providers pay the YORISOI Service Fee through Stripe.

The YORISOI Service Fee is determined upon contract establishment and is not adjusted even if there are changes to service content.

7.6 Service Provision

Providers provide services based on the contract. Service provision is conducted directly between Provider and Client.

7.7 Payment

After service completion, Clients pay the total amount stated in the quote directly to Providers. Payment method shall be as agreed between Provider and Client.

8. Platform Usage Fees and Payments

8.1 Provider Registration/Renewal Fee and Annual Usage Fee

Providers pay the following fees:

Registration/Renewal Fee: $60/year (excluding tax)
The registration/renewal fee is an annual fee that includes license verification and platform registration/renewal fees. Provider screening (US residents: background check, outside US: identity verification, business registration verification, etc.) is conducted once every two years (valid for 2 years).

Annual Usage Fee: $400/year (excluding tax)
The annual usage fee is an annual fee for continuous platform usage.

Payment Timing:
Registration/renewal fees and annual usage fees are settled upon completion of the registration process. The usage period (1 year) starts from the date payment is completed. Thereafter, fees will be automatically renewed (auto-charged) annually from the start date.
Screening and approval are typically completed within 7 business days. However, if there are deficiencies in submitted documents or additional verification is required, it may take longer. Profile publication occurs after screening and approval are completed.

Beta Version Early Registration Campaign
While the standard platform fee is $460/year (excluding tax) consisting of registration/renewal fee + annual usage fee of $400, we are offering an early registration campaign for beta version registrants. Please check the website (www.yorisoi.team) for campaign periods and details.

  • Super Early Registration: Registration/Renewal Fee + Annual Usage Fee $80
  • Early Registration: Registration/Renewal Fee + Annual Usage Fee $150
  • Site Launch Campaign: Registration/Renewal Fee + Annual Usage Fee $250
  • First Year Regular Price: Registration/Renewal Fee $60 + Annual Usage Fee $400 = $460

*Monthly plans are not available during the beta period.

8.2 YORISOI Service Fee

Providers pay YORISOI a YORISOI Service Fee for each Service Agreement.

YORISOI Service Fee: 33% of service fee

This YORISOI Service Fee is used to maintain and provide the following services:

  • Matching of Providers and Clients
  • Platform safety assurance and monitoring
  • Maintenance of Provider verification system (US: background checks; Other: identity verification, business registration confirmation, etc.)
  • Quote and contract creation and management functions
  • Handling of trouble reports and responses to fraudulent activities
  • Customer support
  • Continuous platform improvement and feature additions

We prioritize providing YORISOI Users with safety and trust, and have set the YORISOI Service Fee as the necessary cost for maintaining the system to achieve this.

8.3 Payment Flow

Clients pay Providers the total amount stated in the quote. Providers pay YORISOI the YORISOI Service Fee from the amount received.

Please refer to Section 5.4 for detailed quote contents.

8.4 Payment System

YORISOI Service Fee payment is processed via Stripe. Providers must agree to Stripe's Terms of Service.

Service fee payment between Providers and Clients is made directly between Provider and Client. The Operator is not involved in service fee payment processing.

8.5 Refund Policy

Early Registration Campaign Fees ($80/$150/$250):
During the beta period, registration is on an annual basis. Early registration campaign fees are non-cancellable and non-refundable after payment. The usage period (1 year) starts from the payment completion date.

YORISOI Service Fee:
The YORISOI Service Fee is fixed at the time of contract establishment. In principle, it is non-refundable even if there is a cancellation before service provision or changes to service content. However, if there is a report of cancellation or trouble from a Provider or Client, the Company will investigate and determine whether a refund is appropriate after confirming evidence.

Refunds Between Providers and Clients:
Refunds of service fees between Providers and Clients are made directly between them. The Company is not involved in refunds of service fees.

8.6 Provider Payment Delays and Auto-Renewal

  • Registration/renewal fees and annual usage fees are settled at the time of registration, and thereafter will be automatically renewed (Autopay) annually from the payment date
  • If payment is delayed, the profile will be hidden from the site after 14 days
  • If payment is completed within 14 days after being hidden, the profile will be re-listed
  • If payment is not received within 14 days of being hidden (28 days total from the start of delinquency), the profile will be permanently deleted, and if you wish to re-list, it will be treated as a new registration

Non-Payment of YORISOI Service Fee:

  • If payment of the YORISOI Service Fee is delayed, there is a 30-day grace period
  • If payment is not received after the grace period, the account will be deleted
  • Legal action may be taken if necessary

8.7 Fees and Taxes

Payment Processing Fees (Stripe Fees):

  • Payment processing fees (Stripe fees) are incurred on all transactions
  • These fees are borne by Providers
  • Even if refunds are made to Clients, payment processing fees already paid will not be refunded

Taxes:

  • Registration/Renewal Fees and Annual Usage Fees are displayed excluding tax. The Redmond, WA tax rate as of December 2025 applies
  • YORISOI Service Fees are displayed excluding tax. The Redmond, WA tax rate as of December 2025 applies
  • Taxes on service fees between Providers and Clients should be handled directly between Provider and Client

9. Prohibition of Off-Platform Transactions

9.1 Prohibited Actions

It is strictly prohibited for Providers and Clients who met through the Services to enter into contracts without going through the Services.

This includes:

  • Direct contracts after exchanging contact information outside the Services
  • Creation of quotes and contracts not going through the Services
  • Direct contracts for second and subsequent transactions after initial contract

IMPORTANT: While payments between Providers and Clients are made directly, the contract process (quote presentation, contract establishment) must go through the Services.

9.2 Measures for Violations

If off-platform transactions are discovered, the following measures will be taken:

  • Immediate account suspension or deletion
  • Billing of $500 penalty (applicable to both Providers and Clients)
  • Permanent ban from platform access
  • Registration/Renewal Fees and Annual Usage Fees already paid will not be refunded
  • Legal action may be taken as necessary

9.3 Reporting and Investigation

Reporting Method:

  • If you receive solicitation or attempts for off-platform transactions, promptly report to the Operator
  • Reports should include specific situation descriptions and evidence (message screenshots, etc.) is recommended

Investigation and Response:

  • The Operator will promptly investigate after receiving a report
  • Hearings from involved parties will be conducted as necessary
  • If violations are confirmed, measures in Section 9.2 will be implemented
  • Reporter privacy is protected and identity will not be disclosed to violators

False Reporting:

  • If false or malicious reports are made, the reporter's account may be suspended

10. Cancellations and Trouble Response

10.1 Cancellations

Cancellations between Providers and Clients are made directly between the parties. The Operator is not involved in cancellations.

Cancellation policies are specified in contracts. Providers and Clients should follow the cancellation policy stated in the contract.

10.2 Trouble Response

If troubles (non-payment, service quality, cancellations, etc.) occur between Providers and Clients, they should basically be resolved between the parties. The Operator is not involved in troubles.

However, the Operator will intervene in the following cases:

  • Clear fraudulent activity
  • Serious violations of these Terms
  • Other cases where the Operator determines intervention is necessary

When the Operator intervenes, investigations will be conducted and the following measures taken as necessary:

  • Warning
  • Account suspension
  • Account deletion
  • Legal action

10.3 Severe Weather or Force Majeure

In cases of cancellations due to natural disasters, pandemics, or other force majeure events, please respond flexibly.

11. Provider Listing Period and Conditions

11.1 Listing Start

Providers will be listed on the site once verification and qualification/license authentication are completed.

11.2 Registration Period and Renewal

Renewal notifications are sent 30 days, 7 days, and on the day before registration period expiration. If renewal procedures are not completed, listings will be removed from the site after the registration period ends.

12. Scope of Liability and Disclaimers

12.1 Liability as a Platform

The Operator provides a platform connecting Providers and Clients and assumes no responsibility for:

  • Quality, safety, or legality of services provided by Providers
  • Disputes between Providers and Clients
  • Damages caused by Provider actions
  • Accidents, injuries, or property damage during service provision
  • Provider insurance coverage status

12.2 Information Accuracy

The Operator does not guarantee the accuracy of information provided by YORISOI Users.

12.3 Disclaimers

The Operator assumes no responsibility in the following cases:

  • Damages due to force majeure
  • Damages due to YORISOI User negligence
  • Unauthorized access or cyberattacks by third parties
  • Internet connection failures
  • Service interruptions, errors, or data loss during the beta period

12.4 Limitation of Liability

The Operator's liability is limited to the total amount of fees paid by YORISOI Users in the relevant transaction.

12.5 Disclaimer of Indirect Damages

The Operator assumes no liability for indirect, consequential, incidental, special, or punitive damages (including but not limited to loss of profits, loss of business opportunities, loss of data, reputational damage, etc.) arising from use or inability to use the Services, even if notified of the possibility of such damages.

12.6 Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." The Operator makes no warranties, express or implied, regarding merchantability, fitness for a particular purpose, non-infringement of rights, absence of errors or bugs, security integrity, or uninterrupted service provision. YORISOI Users understand and agree that use of the Services is at their own risk.

13. Account Suspension/Deletion

13.1 Suspension/Deletion by Operator

The Operator reserves the right to suspend or delete YORISOI User accounts in the following cases:

  • Violation of these Terms
  • Provision of false information
  • Off-platform transactions
  • Inappropriate conduct, harassment, or discrimination
  • Legal violations
  • Other actions deemed inappropriate by the Operator

13.2 Deletion by YORISOI Users

YORISOI Users may delete their accounts at any time, but must fulfill obligations if there are incomplete contracts. Refunds follow the refund policy in Section 8.5.

14. Intellectual Property Rights

All content, trademarks, logos, and designs related to the Services are the intellectual property of the Operator or third parties. Unauthorized use, reproduction, or distribution is prohibited.

Ownership of content posted by YORISOI Users (profiles, photos, reviews, etc.) belongs to the YORISOI Users, but grants us a non-exclusive license to use, reproduce, and distribute such content on the platform.

15. Privacy

Please refer to our separate "Privacy Policy" for handling of personal information. By using the Services, you are deemed to have agreed to the Privacy Policy.

We may use YORISOI User data for service improvement, fraud prevention, and legal compliance. We may also share information with third parties to the extent necessary for service provision, including payment processing (Stripe), background checks, and other services.

16. Dispute Resolution

16.1 Resolution Between Parties

Disputes between Providers and Clients should first be attempted to be resolved between the parties.

16.2 Operator Mediation

If resolution cannot be achieved between parties, the Operator may mediate, but has no obligation to make final determinations.

16.3 Legal Proceedings

If resolution cannot be achieved through mediation, legal proceedings will be pursued.

17. Amendments to Terms

The Operator reserves the right to amend these Terms as necessary. For significant changes, YORISOI Users will be notified at least 30 days in advance (may be 7 days in advance during the beta period). Continued use of the Services after changes indicates acceptance of the amended Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Washington, United States of America. Disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of King County, Washington.

Disputes between us and YORISOI Users shall first be attempted to be resolved through good faith negotiations. If resolution cannot be achieved through negotiations, arbitration may be pursued. YORISOI Users waive the right to participate in class actions or class arbitration. All disputes must be resolved individually.

19. Entire Agreement

These Terms constitute the entire agreement between the parties regarding use of the Services and supersede all prior oral or written agreements.

20. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21. Assignment

YORISOI Users may not assign rights or obligations under these Terms without our prior written consent. We may assign freely.
